Terms of Service

The short version. These terms are a real, binding agreement. A few things worth knowing up front:
  • Vaulant is a private, encrypted vault with a succession feature. It is not a will and not legal, tax or estate-planning advice.
  • Your items are encrypted with keys only you hold. If you lose your passphrase (and your Safety Envelope, and a co-owner), we cannot recover your items, no one can.
  • Our binding commitments on how we behave (including if we ever wind down) are set out and incorporated below.

1. Who we are and acceptance

Vaulant is operated by Vaulant, Inc., a Delaware corporation ("we", "us"). By creating an account or using Vaulant (the "Service"), you agree to these Terms and to our Privacy Policy. If you don't agree, don't use the Service.

2. Eligibility

You must be at least 18 years old and able to enter a binding contract. During the invite-only beta, you also need a valid invitation to create an account.

3. Not a will; not legal advice

Vaulant helps you store information and pass it to people you choose if you become unreachable. It is not a will, trust, or other legal instrument, does not transfer legal title to any asset, and is not a substitute for a lawyer, accountant, or estate planner. Nothing in the Service is legal, tax, or financial advice. You are responsible for your own estate planning; use Vaulant to complement it, not replace it.

4. Your account and keys

You are responsible for your account and for keeping your unlock methods safe. Because the Service is designed so that we never hold your keys, we cannot reset your passphrase or recover your encrypted items for you. We strongly recommend keeping a passphrase and, optionally, a printed Safety Envelope, and keeping your contact and successor details current. Loss of all your unlock methods may result in permanent loss of access to your items.

5. Acceptable use

You agree not to:

  • use the Service for anything illegal, or to store content you have no right to store;
  • upload malware, executables, or scripts, or exceed the storage, file-size and item limits or the file-type allowlist we apply;
  • attempt to break, overload, probe, or circumvent the Service's security or access controls (good-faith security research reported to security@vaulant.com is welcome);
  • use the Service to harm others or infringe their rights.

We may suspend or remove content or accounts that violate these rules.

6. How succession works

You may name successors and, optionally, custodians, and set a Succession Policy for who receives what. We check on you on a cadence you set ("Check-Ins"). If you stop responding, a Recovery Request may be started; it is subject to a waiting period ("Grace Period", 14 days by default) during which you or a co-owner can cancel it. Only after that period, and once every owner is past the no-response window, are items released to your successors ("Handoff"). We do not fast-forward this process or bypass the Grace Period. Depending on the custodian option you choose, we may or may not hold a key capable of unlocking your inheritance set; we disclose this when you choose. You can also recover your own vault offline using your passphrase or Safety Envelope together with a download of your ciphertext, without our servers.

7. Subscriptions, trial, and billing

Vaulant is offered on a subscription. New accounts get a 30-day free trial (no card required to start; adding successors requires a card). After the trial, continued use requires a paid subscription, billed through Stripe on a recurring basis until cancelled. You can cancel anytime from your account; cancellation stops future renewals and takes effect at the end of the current billing period. Except where required by law, payments are non-refundable, though we may issue a refund at our discretion. Even after a subscription ends, you retain offline recovery of your data (Safety Envelope plus a ciphertext download). We will give notice of material price changes before they take effect.

8. Our conduct commitments (binding)

The commitments we publish on our Security page and our wind-down page (including that, if we ever discontinue the Service, we will give at least 90 days' notice and ensure your data remains recoverable, and that we will not weaken the Grace Period or fast-forward a Handoff) are incorporated into and made binding by these Terms.

9. Your content

You keep all rights to the content you store. You grant us only the limited rights needed to host and deliver it as you direct (for most content that is opaque ciphertext we cannot read). You are responsible for the content you store and for having the right to store and share it.

10. Service availability and changes

The Service is provided during an evolving beta and may change, and occasionally be unavailable. We may add, modify, or discontinue features, subject to the wind-down commitment in section 8.

11. Disclaimers

Except as expressly stated, the Service is provided "as is" and "as available", without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted or error-free, or that it will meet every estate-planning need.

12. Limitation of liability

To the maximum extent permitted by law, Vaulant, Inc. will not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of data arising from your loss of your own keys or unlock methods. Our total liability for any claim relating to the Service will not exceed the amount you paid us in the twelve months before the claim. Some jurisdictions don't allow certain limitations, so parts of this section may not apply to you.

13. Indemnification

You agree to indemnify Vaulant, Inc. against claims arising from your misuse of the Service or your violation of these Terms or the rights of others.

14. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access for violation of these Terms or as required by law. On termination you retain the offline-recovery rights described above.

15. Changes to these Terms

We may update these Terms. We will change the effective date above and, for material changes, notify you by email or in the app before they take effect. Continued use after changes take effect means you accept them.

16. Governing law

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law rules. Disputes will be resolved in the state or federal courts located in Delaware, unless applicable law gives you the right to bring a claim elsewhere.
